This statement relates to the common stock, par value $0.0001 per share (the “Common Stock”), of Energy Services of America Corporation (“Issuer”).  The address of the principal executive office of the Issuer is 100 Industrial Lane, Huntington, West Virginia 25702.

Mr. Reynolds acquired 9,049 shares of common stock pursuant to an exchange offer whereby 8½ warrants were exchanged for one share of the Issuer’s common stock.  Mr. Reynolds exchanged 76,924 warrants.

An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the issuer or any of its subsidiaries;
